Silas La Borde’s practice focuses on high-stakes corporate governance, fiduciary, and commercial disputes and trials before the Delaware Court of Chancery, where he previously clerked for the Honorable Vice Chancellor Nathan A. Cook.
Before his clerkship, Silas served as a judicial intern for the Honorable Sheldon K. Rennie of the Delaware Superior Court and earned his J.D., magna cum laude, from Georgetown Law, where he was the Notes Editor of the Georgetown Journal of International Law.
Representative Matters
- Represents lead plaintiff in stockholder litigation in the Delaware Court of Chancery challenging a take-private transaction orchestrated by Agiliti Inc.’s controlling stockholder, THL Partners, L.P., and conflicted Agiliti insiders and advisors.
- Represents defendant co-founder, officer, and director of renewable energy company in the Delaware Court of Chancery opposing derivative breach of fiduciary duty claims by company’s stockholders and in investigation by a special litigation committee.
- Represents plaintiff-investors in e-commerce startup in the Delaware Court of Chancery in action alleging fraud, breach of fiduciary duty, and breach of contract against the startup and its insiders.
- Obtained appellate victory affirming trial court’s dismissal of claims against defendant Sol Goldman Investments, LLC in dispute over $1.8 billion business valuation conducted in conjunction with the exercise of contractual put rights.
